TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern all quotes, orders, purchases, design services, printing services, signage, graphics, installations, and other products or services provided by MVPrinting Signs and Graphic (“MVP,” “we,” “us,” or “our”).

By requesting a quote, approving an estimate or proof, placing an order, making a payment or deposit, submitting artwork, or otherwise purchasing products or services from MVP, the customer (“Customer,” “you,” or “your”) acknowledges and agrees to these Terms.

 

1. QUOTES AND ESTIMATES

All quotes and estimates are based on the information, specifications, quantities, dimensions, materials, artwork, installation requirements, and other details provided by the Customer at the time the quote is prepared.

Unless otherwise stated in writing, quotes are estimates and may be subject to adjustment if project specifications, quantities, materials, artwork, installation conditions, shipping costs, taxes, deadlines, or other requirements change.

MVP reserves the right to correct typographical, mathematical, pricing, or other errors contained in any quote or estimate.

A quote does not constitute acceptance of an order until MVP confirms the project and any required payment or deposit has been received.

 

2. ORDERS AND CUSTOMER APPROVAL

An order may be considered confirmed once the Customer approves the applicable quote, estimate, invoice, artwork, or project specifications and satisfies any required payment or deposit.

Once an order enters design, production, fabrication, printing, or installation preparation, changes or cancellations may result in additional charges.

Custom products are manufactured according to Customer specifications and may not be canceled, returned, or refunded once production has begun, except as otherwise required by applicable law or expressly agreed to by MVP.

 

3. DEPOSITS AND PAYMENTS

MVP may require a deposit before beginning design, purchasing materials, scheduling production, or reserving installation services.

The amount of any required deposit will be communicated in the applicable quote, estimate, or invoice.

Unless otherwise agreed in writing, any remaining balance must be paid according to the payment terms stated on the invoice and may be required before products are released, delivered, shipped, or installed.

MVP reserves the right to suspend production, withhold completed products, postpone delivery, or reschedule installation if required payments have not been received.

Customer-requested changes after approval may require additional payment.

 

4. PRICING, TAXES, AND ADDITIONAL CHARGES

Prices are based on the specifications provided at the time of quotation.

Additional charges may apply for:

  • Changes in quantities or dimensions.

  • Changes in materials or substrates.

  • Artwork corrections or redesign.

  • Rush production.

  • Special-order materials.

  • Shipping or delivery.

  • Installation.

  • Permits or governmental fees.

  • Site preparation.

  • Additional installation visits.

  • Customer-requested revisions after approval.

  • Storage of completed products.

  • Other services outside the original scope of work.

Applicable sales taxes and other legally required charges will be added when appropriate.

 

5. CUSTOMER-SUPPLIED ARTWORK AND FILES

Customers are responsible for providing artwork and files in formats and quality suitable for the requested production process.

Low-resolution images, improperly prepared files, incorrect dimensions, missing fonts, incorrect colors, or other file-related issues may affect production quality or require additional design work.

MVP may notify the Customer when obvious problems are identified but is not responsible for detecting every error in Customer-supplied files.

Additional charges may apply if artwork must be recreated, corrected, converted, resized, vectorized, or otherwise prepared for production.

 

6. INTELLECTUAL PROPERTY AND CUSTOMER AUTHORIZATION

By providing artwork, logos, trademarks, photographs, graphics, text, designs, images, or other materials to MVP, the Customer represents and warrants that they own such materials or have obtained all rights, licenses, permissions, and authorizations necessary for their reproduction and use.

The Customer authorizes MVP to reproduce, modify, resize, prepare, print, fabricate, or otherwise use submitted materials as reasonably necessary to complete the requested project.

The Customer is responsible for claims arising from materials supplied by the Customer that infringe or allegedly infringe the intellectual property, privacy, publicity, or other rights of third parties.

MVP reserves the right to refuse any material or project that we reasonably believe may violate applicable law or third-party rights.

 

7. DESIGN SERVICES

Design services, artwork preparation, file corrections, vectorization, layout modifications, and other creative services may be billed separately unless expressly included in the applicable quote.

The number of design revisions included in a project may be limited according to the applicable quote or agreement.

Additional revisions or substantial changes requested by the Customer may result in additional design charges.

Unless otherwise expressly agreed in writing, payment for design services does not automatically transfer ownership of MVP's working files, editable source files, templates, production files, or proprietary design resources.

 

8. PROOFS AND CUSTOMER RESPONSIBILITY

When MVP provides a digital or physical proof, the Customer is responsible for carefully reviewing and approving the proof before production.

The Customer must verify all information, including:

  • Spelling and grammar.

  • Names.

  • Phone numbers.

  • Email addresses.

  • Website addresses.

  • Dates.

  • Prices or promotional information.

  • Dimensions and quantities.

  • Colors.

  • Images and logos.

  • Layout and positioning.

  • Cut lines and finishing.

  • Other project specifications.

Approval of a proof constitutes authorization for MVP to proceed with production.

Once a proof has been approved, the Customer assumes responsibility for errors that were visible or reasonably identifiable in the approved proof, including spelling, contact information, layout, dimensions, and other approved content.

Corrections or reprints resulting from Customer-approved errors may be charged as a new order.

 

9. COLOR MATCHING AND PRODUCTION VARIATIONS

Colors displayed on computer monitors, phones, tablets, and other electronic devices may differ from final printed colors.

Printing and manufacturing processes may also produce reasonable variations between different materials, machines, inks, substrates, production runs, or finishing processes.

Exact color matching is not guaranteed unless MVP expressly agrees to a specific color-matching requirement in writing.

Reasonable industry-standard variations in color, size, placement, cutting, finishing, or material characteristics shall not automatically constitute defects.

 

10. PRODUCTION AND TURNAROUND TIMES

Production times begin only after all required artwork, approvals, specifications, and payments or deposits have been received.

Any turnaround time provided by MVP is an estimate unless expressly guaranteed in writing.

Production schedules may be affected by material availability, equipment problems, shipping delays, weather, power outages, supplier delays, Customer revisions, delayed approvals, installation conditions, or other circumstances beyond MVP’s reasonable control.

Rush service may be available for an additional charge but is subject to production capacity and material availability.

 

11. SHIPPING, DELIVERY, AND PICKUP

Shipping and delivery dates are estimates unless expressly guaranteed in writing.

MVP is not responsible for delays caused by shipping carriers or circumstances outside our reasonable control.

Customers picking up products are responsible for inspecting the order within a reasonable period after receipt.

Completed products should be picked up promptly after the Customer is notified that the order is ready.

MVP may charge reasonable storage fees for completed orders that remain unclaimed for an extended period after notice to the Customer.

 

12. INSTALLATION SERVICES

Installation services are subject to site conditions and accessibility.

The Customer is responsible for providing accurate information regarding the installation location and for ensuring reasonable access to the property at the scheduled installation time.

Unless expressly included in the project scope, the Customer is responsible for obtaining permission from property owners, landlords, building management, homeowners’ associations, or other private parties whose authorization is required for installation.

Government permits, inspections, engineering, electrical work, structural modifications, or other regulatory requirements may involve additional fees and scheduling.

Unexpected site conditions may result in additional charges or require installation to be rescheduled.

These conditions may include unsuitable surfaces, concealed wiring or plumbing, structural problems, restricted access, unsafe working conditions, inaccurate Customer-provided measurements, or conditions that were not reasonably identifiable before installation.

MVP reserves the right to postpone or discontinue installation when conditions are unsafe or unsuitable.

 

13. VEHICLE GRAPHICS AND WRAPS

For vehicle graphics, lettering, decals, or wraps, the Customer is responsible for providing a clean vehicle in suitable condition for installation.

Existing paint damage, rust, dents, body repairs, peeling clear coat, aftermarket paint, or other surface conditions may affect adhesion or removal.

MVP is not responsible for pre-existing vehicle damage or for damage resulting from the removal of graphics where paint, clear coat, or other surfaces were previously damaged, improperly repaired, repainted, deteriorated, or otherwise unsuitable for vinyl application.

The lifespan of vehicle graphics may vary depending on material, installation location, sun exposure, weather, vehicle care, washing methods, and other environmental conditions.

 

14. INSPECTION, DEFECTS, AND CLAIMS

Customers should inspect products promptly after pickup, delivery, or installation.

Any claim involving an alleged manufacturing or production defect should be reported to MVP within a reasonable period after the defect is discovered.

MVP may require photographs, return of the affected product, or an opportunity to inspect the product before determining an appropriate remedy.

If MVP determines that a product contains a material production defect attributable to MVP, we may, at our discretion and subject to applicable law, repair, replace, reprint, or otherwise correct the affected portion of the order.

Customer-approved errors, normal production variations, Customer-supplied artwork problems, misuse, improper storage, improper installation by others, accidental damage, or normal wear and tear are not considered production defects attributable to MVP.

 

15. RETURNS, REFUNDS, AND CANCELLATIONS

Because many MVP products are custom-made, personalized, printed, fabricated, or produced specifically for the Customer, custom products generally cannot be returned or refunded solely because the Customer changes their mind.

Cancellation requests must be made as soon as possible.

If work has already begun, the Customer may be responsible for design time, materials, special-order items, production work, administrative costs, or other expenses incurred before cancellation.

Any refund or credit approved by MVP will be determined according to the circumstances of the order and applicable law.

Nothing in these Terms limits any rights or remedies that cannot legally be waived under applicable law.

 

16. CUSTOMER-PROVIDED MEASUREMENTS

When a Customer provides measurements, dimensions, quantities, or installation specifications, MVP may rely on that information in preparing and producing the order.

The Customer is responsible for the accuracy of Customer-provided measurements.

MVP is not responsible for products that do not fit or perform as intended because of inaccurate measurements or specifications supplied by the Customer.

When MVP performs an on-site measurement, the scope and applicable charges may be stated separately in the quote or invoice.

 

17. PERMITS AND CODE COMPLIANCE

Certain signs and installations may require permits, inspections, landlord approvals, engineering, electrical work, or compliance with local building and sign codes.

Unless expressly included in writing in MVP’s scope of work, the Customer is responsible for determining and obtaining required approvals and permits.

If MVP agrees to assist with permitting, permit fees, engineering fees, inspection fees, revisions required by authorities, and related expenses may be charged separately.

Approval of a design by MVP does not constitute a representation that the design has been approved by any governmental authority.

 

18. FORCE MAJEURE

MVP shall not be responsible for delays or failure to perform caused by circumstances beyond our reasonable control, including severe weather, natural disasters, fires, floods, power outages, equipment failures, transportation disruptions, supplier shortages, labor disruptions, governmental actions, emergencies, or other similar events.

When reasonably possible, MVP will attempt to communicate significant delays and resume performance as circumstances permit.

 

19. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, MVP shall not be liable for indirect, incidental, special, punitive, or consequential damages arising out of or related to an order, product, service, delay, website use, or installation.

To the extent permitted by applicable law, MVP’s liability relating to a particular product or service shall not exceed the amount actually paid to MVP for the product or service giving rise to the claim.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

 

20. THIRD-PARTY PRODUCTS AND SERVICES

Certain projects may involve products, materials, software, shipping carriers, installers, manufacturers, suppliers, or other services provided by third parties.

Third-party products may be subject to the manufacturer’s warranties, limitations, or terms.

MVP is not responsible for acts, omissions, delays, or failures of independent third parties beyond the extent required by applicable law.

 

21. PRIVACY

Personal information collected in connection with quotes, orders, payments, website use, or communications is handled in accordance with MVP’s Privacy Policy.

 

22. WEBSITE USE

Use of MVP’s website is also subject to our Legal Notice and Website Disclaimer.

Information displayed on the website does not constitute a binding quote or guarantee unless expressly confirmed by MVP in writing.

 

23. GOVERNING LAW

These Terms and any transaction or relationship between the Customer and MVP shall be governed by the applicable laws of the State of Texas and the United States, without regard to conflict-of-law principles, except where otherwise required by applicable law.

 

24. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in effect to the fullest extent permitted by law.

 

25. CHANGES TO THESE TERMS

MVP may update these Terms periodically to reflect changes in our business practices, products, services, website, or applicable legal requirements.

The updated Terms will become effective when posted on our website unless otherwise stated.
